Aircraft Support Ventures - Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services operated by Aircraft Support Ventures, LLC, a Delaware limited liability company operating in Texas ("ASV," "we," "our," or "us").

By accessing or using ASV, you agree to these Terms.

1. Overview of the Service

ASV operates a platform that helps aircraft operators connect with qualified maintenance, repair, and overhaul providers ("MROs") for scheduled and emergency services. ASV does not perform maintenance, repair, or inspection services. We act as a facilitator only, and all work performed is solely between operators and providers.

2. Eligibility

You must be:

  • At least 18 years old
  • Legally able to enter agreements
  • Using ASV for business or operational aviation purposes

No consumer-use rights are implied.

3. Account Registration

To use certain features, you must create an account and provide accurate information. You are responsible for:

  • Keeping login credentials secure
  • Activities occurring under your account
  • Updating your details when they change

We may refuse or revoke accounts at our discretion.

4. Use of the Platform

You agree not to:

  • Misrepresent aircraft, maintenance history, or operational readiness
  • Engage in fraud, harassment, or abusive messaging
  • Use ASV to violate aviation regulations or safety standards
  • Upload malware, harmful code, or prohibited content
  • Scrape, index, or reverse engineer our systems
  • Attempt to access another user's data

Violation may result in account suspension or termination.

5. Role of ASV

ASV provides communication tools, matching logic, and coordination infrastructure. We do not:

  • Perform maintenance or inspections
  • Vet providers beyond general qualification info
  • Guarantee repair outcomes, safety, timeliness, or regulatory compliance
  • Control pricing, work scopes, or communication between users

All service agreements are solely between the operator and the provider. ASV is not liable for maintenance work, damages, or operational decisions made by users or providers.

6. Fees and Payments

For Operators

Use of ASV is currently free.

For Providers

Use of ASV is free during an introductory period.

Future fees or subscription tiers may be introduced, and continued use by providers after notification constitutes acceptance of updated pricing.

ASV reserves the right to modify pricing with reasonable notice.

7. Messaging & SMS Notifications

You understand and agree that by using the Platform, you may receive automated transactional messages (e.g., job alerts, AOG updates, verification codes) via SMS at the phone number provided.

  • Consent: Consent to receive SMS is not a condition of any purchase or service engagement.
  • Fees: Message and data rates may apply.
  • Frequency: Message frequency varies based on job activity.
  • Opt-Out: You can cancel the SMS service at any time. Just text "STOP" to the short code. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.
  • Help: If you are experiencing issues with the messaging program you can reply with the keyword "HELP" for more assistance, or you can get help directly at support@aircraftsupport.com.
  • Carrier Liability: Carriers are not liable for delayed or undelivered messages.
  • Logs: ASV may review logs for support, debugging, or abuse prevention. Messages and attachments may be retained indefinitely for compliance.

8. Third-Party Services

ASV integrates with:

  • Supabase (database, auth, file storage)
  • Vercel (hosting and analytics)
  • Railway (backend infrastructure)
  • SendGrid (email delivery)
  • HubSpot (CRM and analytics)
  • Stripe (payment processing, if enabled)

These providers act as processors and do not own your data. Your use of these components is subject to their respective terms.

9. AI & Automated Features

ASV may offer AI-assisted features (e.g., voice onboarding, suggestions) processed via local in-browser models.

We do not:

  • Train external models on your data
  • Send user data to external AI vendors for model training
  • Provide maintenance or regulatory advice via AI outputs

AI outputs are informational only. You are responsible for verifying any AI-generated suggestions.

10. Termination

We may suspend or terminate your access to ASV if you:

  • Violate these Terms
  • Harm platform integrity
  • Engage in unsafe or fraudulent behavior

You may request account deletion at any time. Upon termination, you may request an export of your data.

11. Disclaimers

ASV is provided "as is" and "as available."

We disclaim all warranties, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Availability or uptime
  • Accuracy of aircraft data or provider listings
  • Suitability or qualifications of providers

Maintenance, repair, and operational safety are solely the responsibility of the operator and the provider.

12. Limitation of Liability

To the fullest extent permitted by law:

  • ASV is not liable for any damages arising from maintenance work performed by providers.
  • ASV is not liable for operational decisions or regulatory outcomes.
  • ASV's total liability for any claim will not exceed the greater of $100 or the amount paid by you to ASV in the previous 12 months.

You agree to indemnify ASV against claims arising from your use of the platform, aircraft operations, maintenance records, or messages.

13. Governing Law & Dispute Resolution

Governing Law

These Terms are governed by the laws of Delaware.

Arbitration

Any dispute will be resolved through binding arbitration, except that either party may pursue claims in small claims court. Arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Venue

Proceedings will occur in Texas unless both parties agree otherwise.

14. Changes to These Terms

We may update these Terms from time to time.

If changes are material, we will notify users via email or in-app notices. Continued use of ASV after changes constitute acceptance.
